La nostra Società Seggiovia Santa Croce Spa – tradizionalmente attenta al rispetto dei principi di correttezza, trasparenza e legalità – ha adottato un Modello di organizzazione, gestione e controllo ai sensi del D.lgs. n.231/2001, strumento in continuo divenire che individua nel rispetto della legge il principio ispiratore delle attività aziendali.

È nostro interesse primario che tutti coloro che – a qualunque titolo – operano per e con noi, svolgano la propria attività in osservanza dei principi e dei valori contenuti nel nostro Modello 231 e nel nostro Codice di comportamento, quali imprescindibili strumenti di guida, promozione e diffusione di comportamenti corretti e lineari, anche a garanzia del buon funzionamento, dell’affidabilità e della reputazione dell’azienda.

 

Gli Amministratori delle Società hanno nominato al fine di garantire l’efficace funzionamento del Modello 231 un Organismo di Vigilanza autonomo e indipendente.

Codice di comportamento per i fornitori e i professionisti che intrattengono rapporti contrattuali con SEGGIOVIA SANTA CROCE S.p.A.

Con la firma del presente contratto/ordine, il sottoscritto fornitore e/o professionista dichiara di aver preso conoscenza e si impegna ad osservare, per quanto di propria competenza e relativamente al presente contratto/ordine, le norme per la prevenzione della commissione dei reati ex D.lgs. n.231/2001 “Disciplina della responsabilità amministrativa delle persone giuridiche, delle società e delle associazioni anche prive di personalità giuridica”, per il rispetto del quale SEGGIOVIA SANTA CROCE S.p.A. (di seguito “Società”) adotta un Modello di organizzazione, gestione e controllo.

 

In particolare, nello svolgimento della propria attività di fornitura:

 

·      si impegna ad assumere nei confronti della Società e degli altri soggetti coinvolti nel presente contratto/ordine (Pubblica Amministrazione, autorità competenti, altri fornitori e professionisti, clienti, ecc.) comportamenti improntati alla massima professionalità e diligenza;

·      ad ispirare il proprio comportamento ai principi dell’etica e dell’onestà ed ad evitare di promuovere o favorire in modo illecito interessi della Società oppure di terzi nei rapporti con la stessa, anche se soggetto ad illecite pressioni;

·      ad evitare in modo assoluto di adottare verso soggetti privati e pubblici (sia persone fisiche sia giuridiche) pratiche di corruzione, favoritismi illegittimi, comportamenti collusivi, sollecitazioni personali o mediante terzi, volti ad ottenere vantaggi economici e professionali, per sé, per altri oppure per la Società;

·      si impegna a non offrire denaro, doni o altre utilità a dirigenti, funzionari o dipendenti di enti pubblici e aziende privati e neppure a soggetti che operano per conto delle stesse;

·      si impegna a non offrire, chiedere o accettare per sé o per altri qualsiasi regalo o altra utilità per ottenere un trattamento più favorevole in relazione a qualsiasi attività svolta per conto della Società;

·      a non operare in situazioni anche potenziali di conflitto di interesse con la Società;

·      ad effettuare ogni registrazione documentale in modo accurato, completo, veritiero, trasparente e tempestivo ed a consentire eventuali verifiche da parte di soggetti, anche esterni, a ciò preposti;

·      a non ostacolare l’esercizio delle funzioni espletate dalle autorità pubbliche.

 

Nel caso il sottoscritto fornitore e/o professionista intrattenesse per conto della Società trattative oppure rapporti con la Pubblica Amministrazione relativamente a procedimenti di richiesta e gestione di contributi e finanziamenti pubblici, di partecipazione a gare e appalti oppure per l’assegnazione di licenze, autorizzazioni e concessioni, si impegna:

 

·      a non cercare di influenzare impropriamente le decisioni della controparte, compreso quelle dei funzionari che trattano o prendono decisioni per conto della Pubblica Amministrazione;

·      a non proporre, offrire oppure fornire vantaggi, per esempio di impiego, regali o altra utilità, a soggetti della Pubblica Amministrazione;

·      a non sollecitare oppure ottenere informazioni riservate che possono compromettere l’integrità o la reputazione della Società oppure dell’Ente Pubblico;

·      a non chiedere oppure accettare per sé o per altri qualsiasi regalo o altra utilità;

·      nel caso specifico dell’effettuazione di una gara con la Pubblica Amministrazione, ad operare nel rispetto della legge e della corretta pratica commerciale e delle specifiche direttive impartite dalla Società.

 

Il sottoscritto fornitore e/o professionista si impegna a non comunicare né diffondere le informazioni ed i dati della Società riguardanti l’organizzazione aziendale, progetti, trattative in corso con terzi, procedure, software, impianti e attrezzature aziendali, prezzi e condizioni contrattuali con clienti e fornitori, nel rispetto delle norme vigenti in materia di privacy, fatti salvi gli obblighi di legge.
